eBike Exchange: TERMS AND CONDITIONS OF USE

1. LEGAL ENTITY AND PLATFORM ROLE
1.1. Platform: eBike Exchange is a sole trading enterprise (the "Platform," "we," "us," or "our").
1.2. Platform Role: eBike Exchange is a "Web 2.5" verified peer-to-peer marketplace. We provide the technical infrastructure—including automated escrow protocols and digital title generation—to facilitate the sale of pre-owned electric bikes between independent users ("Sellers" and "Buyers").
1.3. No Party to Transaction: You acknowledge that the Platform is a facilitator only and is not a party to any contract of sale between a Buyer and a Seller. The main trading website, ElectricBikeSales.co.uk, operates under separate retail terms; these Exchange Terms apply exclusively to peer-to-peer transactions.
2. ESCROW AND SECURE PAYMENTS
2.1. The Escrow Service: All transactions utilise an automated escrow protocol. When a Buyer commits funds, they are held as Secured Funds within a protected digital vault.
2.2. Payment Facilitators: All escrow payments and bank payouts are handled by third-party Payment Facilitators. By using this service, you agree to be bound by the terms and conditions of the relevant Payment Facilitator integrated at the time of transaction.
2.3. Release of Funds: Escrowed Funds are released to the Seller only when:
2.4. Finality: Once a Buyer triggers the release of funds, the transaction is final and irrevocable. The Platform cannot retrieve or reverse funds once they have exited the escrow vault.
3. VERIFIED SELLER OBLIGATIONS & STATUTORY DECLARATIONS
3.1. Mandatory Verification: To maintain the integrity of our verified marketplace, Sellers must complete the "Promise of Ownership" Statutory Declaration, providing valid government-issued photo ID and proof of physical possession.
3.2. Accuracy of Data: Sellers warrant that all listing details—including frame serial numbers, motor mileage, and battery health—are truthful.
3.3. Title and Liens: The Seller warrants they are the sole legal owner and the bike is free from outstanding finance or hire purchase agreements.
3.4. Legal Liability: Sellers acknowledge that making a false declaration of ownership is a criminal offence under the Statutory Declarations Act 1835. The Platform reserves the right to share all verification data with law enforcement if a bike is later identified as stolen.
4. BUYER RESPONSIBILITIES & "REAL WORLD" INSPECTION
4.1. Mandatory Inspection: The Buyer is solely responsible for the "real-world" physical inspection of the bike at the point of handover. This includes verifying the frame number and mechanical safety.
4.2. Acceptance of Goods: By clicking "Accept Bike," the Buyer confirms the goods are of satisfactory quality and match the description. The Platform is not liable for any mechanical defects, battery degradation, or safety issues discovered after the funds are released.
4.3. Consumer Rights: Buyers acknowledge that private, peer-to-peer sales do not carry the same statutory protections as purchasing a new bike from the ElectricBikeSales.co.uk retail stores.
5. DISPUTE RESOLUTION (THE REFEREE ROLE)
5.1. Freezing Escrow: If the bike is not as described, the Buyer must "Raise a Dispute" before accepting. This action freezes the Secured Funds in the vault.
5.2. Administrative Ruling: The Platform acts as a neutral referee. We will review evidence provided by both parties and reserve the right to make a final administrative decision to release or refund the escrowed funds.
5.3. Dispute Limit: If a resolution cannot be reached within 14 days of a dispute being raised, the Platform may refer the parties to independent mediation or legal recourse, while continuing to hold the funds in a "Locked" state.
6. LIMITATION OF LIABILITY
6.1. As-Is Basis: The Platform provides the Exchange platform "as-is" and makes no warranties regarding the condition or safety of second-hand eBikes.
6.2. Liability Cap: To the maximum extent permitted by UK law, the total liability of the eBike Exchange for any claim arising from a Marketplace transaction is strictly limited to the total fees paid by the user to the Platform for that specific transaction.
6.3. Third-Party Services: The Platform is not liable for the acts or omissions of third-party couriers or Payment Facilitators, even where access was provided via the Platform.
7. GOVERNING LAW
7.1. Jurisdiction: These Terms are governed by the laws of England and Wales. Users submit to the exclusive jurisdiction of the English Courts.
